Terms of Service
Please read these Terms of Service ("Terms") carefully before using the services provided by Magnolia Medical Media LLC ("us", "we", or "our"). Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all clients, visitors, and others who wish to access or use our services.
1. Services
Magnolia Medical Media LLC provides a range of medical media services, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media, and content media. The specific scope of services, deliverables, and timelines for each client will be outlined in a separate Service Agreement or Statement of Work.
2. Client Obligations
The client agrees to provide Magnolia Medical Media LLC with all necessary access to information, data, and digital assets required to perform the agreed-upon services. This may include access to website backends, analytics accounts, ad accounts, and social media profiles. The client is responsible for the accuracy and legality of all materials provided to us.
3. Payment Terms
Payment for services will be governed by the terms outlined in the client's Service Agreement. Services are typically billed on a monthly retainer basis, payable in advance. Late payments may result in a suspension of services and/or late fees as specified in the agreement. All fees paid to third-party platforms (e.g., Google Ads, Meta) are the sole responsibility of the client.
4. Confidentiality
Both parties agree to keep all non-public information, including business strategies, client data, and campaign performance, confidential. Magnolia Medical Media LLC will not disclose any confidential client information to third parties without the client's prior written consent, except as required by law.
5. Intellectual Property
Any pre-existing intellectual property of either party shall remain the sole property of that party. Any new materials, content, or strategies developed by Magnolia Medical Media LLC during the provision of services ("Work Product") shall become the property of the client upon full payment for the relevant services. We reserve the right to use the Work Product for our own portfolio and media purposes, unless otherwise agreed in writing.
6. Limitation of Liability
While Magnolia Medical Media LLC strives to provide the highest quality services, we do not guarantee specific results, such as search engine rankings, lead volume, or revenue increases. The medical media landscape is constantly changing, and outcomes are subject to factors beyond our control. In no event shall Magnolia Medical Media LLC be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services.
7. Termination
Either party may terminate the service agreement with written notice, typically 30 days, as specified in the Service Agreement. Upon termination, the client is responsible for all fees accrued up to the termination date. Magnolia Medical Media LLC will cooperate in the transition of all relevant accounts and data back to the client.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Magnolia Medical Media LLC is registered, without regard to its conflict of law provisions.
